ACCEL LIMITED (ACCEL)

The Share Allotment Committee of the Board of Directors of the Company, by way of resolution passed at the meeting held on today i.e. 04th May, 2026 has approved the allotment of 6,06,250 equity shares of face value Rs. 2/- each to eligible shareholders who were holding shares of Accel Media Ventures Limited as on Record Date i.e. 01-05-2026 in ratio 1 fully paid equity share of Accel Limited for every 2 fully paid up equity shares held in Accel Media Ventures Limited pursuant to Scheme.

Accel Limited wishes to inform that the Share Allotment Committee of Board of Directors and Board of Directors of the Company, at its meeting held today, i.e., 30th April, 2026, inter-alia, has approved allotment of 6,06,250 (Six Lakh Six Thousand Two Hundred and Fifty) fully paid-up equity shares of ?2/- each, to the eligible shareholders of Accel Media Ventures Limited (Transferor Company) (other than Accel Limited), in the share exchange ratio of 2:1, i.e., 1 (One) equity share of Accel Limited for every 2 (Two) equity shares held in Accel Media Ventures Limited, pursuant to the Order dated 10th March, 2026 passed by the Hon'ble National Company Law Tribunal, Division Bench – II, Chennai.

Accel Limited wishes to inform, a meeting of the Board of Directors is scheduled to be held on Thursday, 30th April, 2026, inter alia, to consider and approve the allotment of fully paid-up equity shares of the Company (“Transferee Company”) to the eligible shareholders of Accel Media Ventures Limited (“Transferor Company”) (other than the Transferee Company), as per the share exchange ratio set out in the Scheme of Amalgamation, as sanctioned by the Hon’ble National Company Law Tribunal.

Accel Limited wishes to inform the record date for determining the eligible equity shareholders of the Transferor Company entitled to receive equity shares of Transferee Company will be 01st May 2026.

Accel Limited wishes to inform of the completion of the tenure of appointment of Mr. S V Rao (06600739), Wholetime Director.
