1. The Audited Financial Results (Standalone and Consolidated) for the fourth quarter and year ended 31st March, 2026 along with the report of Statutory Auditor’s thereon, as recommended by the Audit Committee, are enclosed herewith. The Statutory Auditors, M/s. O. Aggarwal & Co., Chartered Accountants, have issued their audit reports on the standalone and consolidated financial results of the Company. The audit report on the standalone financial results contains an unmodified opinion, whereas the audit report on the consolidated financial results contains a modified opinion.
Pursuant to Regulation 29(1)(a), Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (the said Regulations), this is to inform you that as required under Regulation 33 of the said Regulations, a meeting of the Board of Directors of the Company is scheduled to be held on Friday, May 29, 2026 at the Registered office of the Company at C-15, RDC, Raj Nagar, Ghaziabad-201001, Uttar Pradesh, interalia, to consider and approve the Audited Financial Results (Standalone and Consolidated) of the Company for the fourth quarter and year ended March 31, 2026, after the same are reviewed by the Audit Committee.
This is with reference to the captioned subject, we wish to inform you that the securities of Fedders Holding Limited have been admitted to trading on the National Stock Exchange of India Limited vide Circular Ref No. 0645/2026 and Download Ref No. NSE/CML/73797 dated 17th April, 2026 with effect from 20.04.2026 in permitted to trade category.
We attached herewith the Confirmation Certificate from our RTA- MUFG Intime India Private Limited, pursuant to Regulation 74(5) of SEBI(LODR), Regulations, 2018 for the quarter and year ended 31st March, 2026.
Pursuant to the provisions of SEBI (Prohibition of Insider Trading) Regulations, 2015, the trading window for dealing in the Equity Shares of the Company shall remain closed for all Designated Partners/Insiders and their immediate relatives from Wednesday April 1, 2026 till 48 hours after the conclusion of the Board Meeting for the approval of the Audited Standalone and Consolidated Financial Results for the quarter ended March 31, 2026 will be considered and approved.
