Appointment of Chief Financial Officer (CFO)
• To appoint Mr. Aashish Gupta as Chief Financial Officer Pursuant to provisions of Section 203 of the Companies Act 2013 read with its applicable rules and Regulation 30 of the SEBI (Listing and Disclosure Requirements) Regulation, 2015, the Board of Directors of the Company at its meeting held today, based on the recommendation of Audit Committee and Nomination and Remuneration Committee has: Approved the appointment of Mr. Aashish Gupta (PAN-CEVPG2704J) as Chief Financial Officer (CFO) of the Company with effect from 1st June, 2026. The requisite details of such appointment pursuant to the requirement of Regulation 30 of Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 are given as Annexure A. The Board Meeting commenced at 3:30 P.M and concluded at 4.00 P.M. (IST).

1. Approval of Standalone audited financial statements including Balance Sheet, Profit & Loss Account, Cash Flow Statement and notes thereon of the Company for the quarter and year ended March 31, 2026 in accordance with Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and taken on record the Independent Audit Report of the Auditors on the same (copy attached). 2. Approval of re-appointment of Mr. Santosh Kumar Agarwal, having PAN AACPA7421R, as an Internal Auditor of the Company for the Financial Year 2026-27.
