Pursuant to Regulation 30 read with Schedule III of the SEBI (LODR) Regulations, 2015, we wish to inform that Mr. Ravi Ghai (DIN 00074612), Director and Chairman (Non-Independent and Non-Executive)has ceased to be a Director and Chairman wef 22.05.2026 in accordance with the provisions of Section 167 (1) (b) of the Companies Act, 2013 i.e. vacation of office of Director on account of absence from all the meetings of the board of directors held during a period of twelve months. The details required under SEBI Circular dated January 30, 2026 are enclosed herewith. Kindly take the same on record.

Upon the review and recommendation of the Audit Committee at its meeting held on May 14, 2026, the Board of Directors at its meeting held today i.e May 14, 2026 interalia considered and approved and taken on record the audited standalone and consolidated financial results along with the audit reports of the Company for the quarter and year ended March 31, 2026.
In compliance with the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that upon the review and recommendation of the Audit Committee at its meeting held today i.e Thursday, May 14, 2026, the Board of Directors of the Company, at its meeting held today i,e Thursday, May 14, 2026 inter alia considered, approved and taken on record the items annexed herewith. The Meeting commenced at 12:00 P.M (IST) and concluded at 12:45 P.M (IST).
