Pursuant to Regulation 74(5) of SEBI (Depositories and Participants) Regulations, 2018, we are enclosing herewith the Certificate received from Alankit Assignments Limited, the Registrar and Share Transfer Agents of the Company, for the quarter ended 31st March, 2026.
Pursuant to Regulation 15(2) of SEBI (LODR), Regulations, 2015, the compliances with the Corporate Governance provisions as specified in Regulations 17, 17A, 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27 and clauses (b) to (i) of sub-regulation (2) of regulation 46 and para C, D and E of Schedule V shall not apply, in respect of The listed entity having Paid up Equity Share Capital not exceeding rupees ten crores and Net Worth not exceeding rupees twenty-five crore, as on the last day of the previous financial year. Please note that the Paid-up Equity Share Capital of the Company is Rs. 5.74 Crores and Net Worth is Rs. 0.18 Crores as per the Audited Financial Statement for the Financial Year ended on 31st March, 2025. Accordingly, the Company is not required to submit Annual Secretarial Compliance Report as required under Regulation 24A of the SEBI (LODR), Regulations, 2015
This is to inform that pursuant to the provisions of SEBI (Prohibition of Insider Trading) Regulations, 2015 and in accordance with the Company's Code of Conduct for the Prevention of Insider Trading, the Trading Window for dealing in securities of the Company will remain closed from April 01, 2026 until the expiry of 48 hours after the declaration of Financial Results for the quarter and year ended March 31, 2026.
