1. Approved and adopted Audited Financial Results of the Company for the Quarter and Financial Year ended 31st March, 2026. 2. The Board of Directors also on recommendation of NRC, recommend to the Shareholders re-appointment of Mr. Pradip Bhar, Director who is retiring by rotation. 3. Appointment of R. N. Shah & Associates, Practicing Company Secretary as Scrutinizer for voting done at the 79th Annual General Meeting.
- Approved and adopted Audited Financial Results of the Company for the Quarter and Financial Year ended 31st March, 2026 under Indian AS (statement) as recommended by the Audit Committee. Copy of the said financial results and Auditors’ Report are enclosed herewith. In connection with the above, we hereby inform that the Auditors of the Company have furnished their Draft Audit Report in respect of the aforesaid Financial Results with un-modified opinion. - The Board of Directors also on recommendation of Nomination and Remuneration Committee, recommend to the Shareholders re-appointment of Mr. Pradip Bhar (DIN: 01039198), who is retiring by rotation. - Appointment of R. Notice is hereby given pursuant to Regulation 29 of SEBI (Listing Obligation and Disclosure Requirements) Regulation, 2015 that the Meeting of Audit Committee and Board of Directors of the Company will be held on Friday, 29th day of May, 2026 to consider & approve the Audited Financial Results for the Quarter and Year ended 31st March, 2026 amongst other matters. Further, the Trading Window for dealing in the equity shares of the Company by all the designated persons and their immediate relatives has been closed from April 1, 2026 up to the expiry of two working days after the date of declaration of the Audited Financial Results for the Quarter &Year ended March 31, 2026.
Non- applicability of Secretarial Compliance Report as the Paid-up capital of the Company is Rs. 51,71,125/- and networth of the Company is less than Rs. 25,00,00,000/-.
Confirmation Certificate under Regulation 74(5) of Securities and Exchange Board of India ( Depositories and Participants) Regulations, 2018 for the quarter ended 31st March, 2026.
Trading window for dealing in the Company's scrip by Directors, Designated Persons and their immediate relative will remain closed from Wednesday, 1st April, 2026 till completion of 48 working hours after the audited financial result for the quarter and year ended 31st March,2026 are made public.
